Terms of Service
1. Acceptance of Terms
By accessing or using everyais (the "Service") operated by BROZ Corp. ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Service Description
everyais is a multi-cloud AI API gateway that provides access to AI models from multiple cloud providers (including AWS Bedrock, Google Gemini API, Nebius, and Meta) through a single OpenAI-compatible API endpoint. The Service includes:
- Chat completions API (text generation)
- Image generation and editing API
- Model routing and failover
- Usage analytics and management dashboard
3. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials and API keys
- Notify us immediately of any unauthorized use of your account
- Be responsible for all activities that occur under your account
API keys are prefixed with everyais_ and are stored as SHA-256 hashes. You are solely responsible for keeping your API keys confidential. We will never ask you for your API key.
4. API Usage & Restrictions
4.1 Fair Use
You agree to use the Service in a manner consistent with its intended purpose and not to exceed reasonable usage levels. We reserve the right to throttle or suspend accounts that exhibit abusive usage patterns.
4.2 Rate Limits
The Service enforces rate limits to ensure fair access for all users:
- General API: 100 requests per minute
- Authentication endpoints: 10 requests per minute
Rate limits may be adjusted. Enterprise customers may contact us for custom rate limit arrangements.
4.3 Prohibited Uses
You may not use the Service to:
- Generate content that promotes violence, terrorism, or physical harm
- Create child sexual abuse material (CSAM) or any content exploiting minors
- Produce content that harasses, threatens, or intimidates individuals
- Generate or distribute malware, viruses, or other malicious code
- Create non-consensual deepfakes or impersonation content
- Develop weapons or provide instructions for creating weapons
- Generate content that discriminates based on race, gender, religion, nationality, disability, or sexual orientation
- Violate any applicable laws or regulations
- Infringe upon intellectual property rights of others
- Attempt to bypass rate limits, authentication, or other security measures
- Reverse-engineer, decompile, or attempt to extract the source code of the Service
5. AI-Generated Content
You acknowledge and agree that:
- AI-generated output is not guaranteed to be unique, accurate, complete, or non-infringing
- You are solely responsible for reviewing, validating, and using any AI-generated output
- everyais acts as an intermediary — content is generated by third-party AI providers, not by everyais
- AI outputs may contain errors, biases, or hallucinations and should not be relied upon as sole source of truth
- You must comply with all applicable laws when using AI-generated content, including disclosure requirements
6. Intellectual Property
6.1 Your Content
You retain all rights to the input you submit and the output you receive through the Service, subject to the rights of the underlying AI providers.
6.2 License to everyais
You grant everyais a non-exclusive, worldwide, royalty-free license to use your input and output solely for the purposes of:
- Delivering the request (including a 24-hour cache so you can retrieve outputs)
We do not collect prompt or response bodies as a dataset. After the 24-hour cache they are irrecoverably deleted from our systems. We do not use them to train or retrain our own models. What remains after 24 hours is usage metadata for billing and operations (model name, token counts, timestamps, cost) — not the original text or media.
6.2.1 Training-tier models (opt-in)
Some providers offer heavily discounted models on the condition that they may use inputs and outputs to train their own models. These models are available only if you turn on "Allow training-tier models" in account settings; this is off by default. Accounts that have not opted in do not see them listed and are refused if they call them. Organization API keys follow the organization setting, not the individual member setting. When you have opted in and call such a model, that request's inputs and outputs are used by the provider to train their models, limited to that request. Turning the setting off stops future requests from being used, but content already incorporated into a trained model cannot be recalled. See section 4 of the Privacy Policy for details.
6.3 Usage Data
Aggregated and anonymized usage data (such as token counts, model usage patterns, and performance metrics) is owned by everyais and may be used for service improvement and analytics.
7. Fees & Payment
7.1 Credit-Based Billing
The Service uses a credit-based billing system. Charges are calculated based on token usage (for text models) or per-image (for image generation models). Current pricing is available on our pricing page and may be updated from time to time.
7.2 Refund Policy
Refunds depend on the currency you paid in. The same policy is published on the Refund Policy page.
Payments in KRW (residents of South Korea, Hecto Financial)
Under the Korean Act on Consumer Protection in Electronic Commerce, you may withdraw a credit purchase for unused credits within 7 days of purchase.
- Unused credits: full refund within 7 days of purchase
- Partly used credits: refund of the unused balance within 7 days of purchase
- How to request: email portal@everyais.com
- Processing time: within 3 business days of the request
Payments in USD (overseas, Paddle · Dodo Payments)
- Our order process for overseas (USD) payments is conducted by our online reseller, Paddle.com or Dodo Payments, Inc. The reseller that processed your payment is the Merchant of Record (“MoR”) for that order.
- Credits that have already been allocated to your account are generally not eligible for a refund. When a payment is refunded, the corresponding credits are removed from your balance.
- We refund a payment if you were charged twice by mistake, were billed an incorrect amount, did not authorize the payment, or could not use the credits you bought because of a failure of the Service.
- If a clear criminal incident occurred as a result of the customer's negligence and the customer can provide official documents issued by a government authority, we refund the payment minus the payment processing fees and the cost of any credits already used.
- This policy does not limit any refund or withdrawal right that mandatory consumer protection law gives you.
- Refunds for USD payments are handled under the refund policy of the MoR that processed the payment (Paddle's Refund Policy or the Dodo Payments Buyer Terms).
- Request a refund from the MoR (paddle.net for Paddle, or the support contact in your Dodo Payments receipt) or by emailing portal@everyais.com. The MoR issues refunds to the original payment method.
- Promotional or free credits are non-refundable and expire 90 days after issuance.
- Purchased credits expire 365 days after purchase.
- If your account is terminated for a reason attributable to you, the remaining credits are not refunded.
7.3 Taxes
All fees are exclusive of applicable taxes. You are responsible for paying any taxes associated with your use of the Service, unless otherwise stated.
7.4 Payment Method by Country of Residence
- Residents of South Korea may purchase credits only through KRW (domestic) payment. Overseas checkout is available only to non-residents of South Korea, and by using it you confirm that you are not a resident of South Korea.
- If account or payment information indicates that an overseas payment was made by a resident of South Korea, we may withhold the credits, cancel or refund the payment, or temporarily suspend the account. Credits already issued are revoked in the amount refunded. Questions can be sent to portal@everyais.com.
8. Third-Party AI Providers
everyais routes your API requests to third-party AI providers. You acknowledge that:
- Each provider has its own terms of service and acceptable use policies
- Provider availability and performance may vary
- everyais is not responsible for the content generated by third-party AI models
- everyais is not liable for provider outages, service degradation, or data handling by providers
8.1 Community Supply
Some models are processed on servers operated by third-party participants in the everyais supplier program, not on clouds we contract with directly. Those models are marked with a supply value of community or mixed.
Community supply is turned off by default (opt-in). No request is sent to a third-party server until you enable allowCommunitySupply in dashboard settings. Organization API keys follow the organization policy, not the individual member setting. You may turn it on or off at any time.
Even when community supply is on, everyais does not collect that request's prompt or response bodies. After our 24-hour cache they are fully deleted from our systems. Suppliers are contractually required to delete them immediately after processing and must not store them or use them for training.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. THE COMPANY'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Content you submit to or generate through the Service
- Your violation of any applicable law or the rights of any third party
12. Termination
Either party may terminate the agreement at any time. We may suspend or terminate your access to the Service immediately, without prior notice, if:
- You breach any provision of these Terms
- We are required to do so by law
- We reasonably believe your account has been compromised
- Your usage poses a risk to the Service or other users
Upon termination, your right to use the Service ceases immediately. Unused credits are forfeited upon account termination for cause. If you terminate your account without cause, you may request a final usage report before deletion.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the Seoul Central District Court, Republic of Korea.
14. Changes to Terms
We may modify these Terms at any time. For material changes, we will provide at least 30 days' notice through the Service or via email before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Service.
